Prosta Spółka Akcyjna is another solution that is to strengthen the development of startups and contribute to the increase of innovation of the Polish economy. In this area, there is already a R&D relief, as well as an IP box, i.e. a 5% tax on revenues from research and development results, as well as a tax exemption for alternative investment companies. These solutions, together with the Act on PSA and the Start in Poland program, create an ecosystem of support for startups in Poland.

PSA is the answer to the demands of startup environments

The proposal of a simple joint-stock company is the result of months of talks and consultations with practitioners and experts. The startup environment was the initiator of analyzes and discussions that we started in 2016. The White Paper of Innovation of September 2016 confirmed that innovation support should include, among others on changes in the institutional legal environment, in company law.

MPiT analysis shows that currently available forms of business, such as a limited liability company whether the joint-stock company does not fully meet the needs of startups. This is confirmed by the research of the Polish Agency for Enterprise Development, in which as many as 73% of respondents indicated the need for a new legal formula for innovative companies - a new capital company. This modern type of company is to facilitate, in particular, the development of startups. However, we want it to be available to any company for which the traditional organizational framework, still based on the Commercial Code of 1934, is too rigid and complicated.

According to the Startup Poland Foundation, in 2016 there were about 2,700 entities in Poland for which information processing and related technologies were a key element of their activity. However, the actual number of startups is much higher. The potential of startups in 2023 is, according to Deloitte forecasts, PLN 2.2 billion of value added, over 50 thousand. jobs and PLN 757 million in revenues for households. Among others thanks to the draft law, Poland is joining the European trend of creating legal forms for startups. Examples include the Slovak regulation (a simple company for shares), effective from January 1, 2017, or SAS, extremely popular in France. Therefore, PSA will not only allow us to keep Polish startups in Poland, but also to compete in regulatory terms with other countries.
